1. Scope of Services

Flexweb LLC provides a variety of professional services, including but not limited to:

• Website Development & Web Services

• Mobile Application Development

• Graphic & UI/UX Design

• Online Marketing, SEO & Advertising Campaigns

• Telemarketing Solutions

We reserve the right to expand, modify, or discontinue services at any time, with or without notice.

2. Client Eligibility

• Services are available to both businesses (B2B) and individual clients (B2C).

• By entering into an agreement with Flexweb LLC, you confirm that you are at least 18 years old and legally authorized to contract.

3. Service Engagement & Agreements

• Prior to commencing work, Flexweb LLC and the Client shall define the scope, deliverables, timelines, and payment schedule in a written agreement, quotation, or proposal.

• The Client must provide all necessary information, approvals, and content required for the services in a timely manner.

• Delays caused by the Client may impact agreed deadlines.

4. Payments & Billing

• Payments are made in installments as agreed upon in the contract.

• Work will commence only after the initial installment has been received.

• Final project files, deliverables, or access will be provided only after full payment has been received.

• Late payments may result in suspension of services until outstanding balances are cleared.

5. Refund & Cancellation Policy

• No refunds are provided once services have started.

• Cancellations must be requested in writing and are subject to approval.

• Payments already made remain non-refundable and may be credited against future services at the sole discretion of Flexweb LLC.

6. Intellectual Property & Ownership

• Upon full payment, all rights, titles, and ownership of the deliverables are transferred to the Client.

• Flexweb LLC retains the right to use completed projects for portfolio, marketing, or case study purposes, unless otherwise agreed in writing.

• Pre-existing tools, frameworks, or code libraries used remain the intellectual property of Flexweb LLC.

7. Confidentiality

• Both parties agree to maintain the confidentiality of proprietary, sensitive, or business-related information shared during the course of the project.

• Flexweb LLC will not disclose Client data to third parties, except where required by law.

8. Warranties & Representations

• Flexweb LLC warrants that services will be provided with reasonable skill and care.

• We do not warrant that services will be error-free, uninterrupted, or guarantee specific results (e.g., rankings, revenue increase, leads).

• The Client warrants that all materials provided (logos, content, images, etc.) do not infringe any third-party rights.

9. Limitation of Liability & Disclaimer

• Flexweb LLC shall not be held liable for:

  • Loss of revenue, profits, or business opportunities.

  • Indirect, consequential, or incidental damages.

  • Downtime, data loss, or issues caused by third-party platforms, hosting, or tools.

• Services are provided “as is,” without warranties of performance or outcome.

• The Client assumes responsibility for the way services and deliverables are used.

10. Third-Party Services & Integrations

• Flexweb LLC may recommend or integrate third-party tools, plugins, or services.

• We are not responsible for functionality, security, or policies of third-party providers.

• The Client must review and comply with applicable third-party terms.

11. Indemnification

The Client agrees to indemnify and hold harmless Flexweb LLC, its employees, and partners from any claims, damages, or expenses resulting from:

• Misuse of deliverables.

• Breach of these Terms.

• Violation of intellectual property or third-party rights.

12. Termination

• Flexweb LLC may terminate services immediately if:

  • The Client breaches these Terms.

  • Payment is not received as agreed.

• Upon termination, all amounts owed remain payable by the Client.

13. Force Majeure

Flexweb LLC shall not be liable for delays or failure to perform due to events beyond our control, including but not limited to: natural disasters, cyberattacks, power outages, strikes, or government actions.

14. Governing Law & Jurisdiction

• These Terms are governed by the laws of the State of Wyoming, United States.

• Any disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming.

15. Amendments

• Flexweb LLC reserves the right to update or modify these Terms at any time.

• Continued use of services after changes are published constitutes acceptance of the updated Terms.
